While Pickey aims to help users make more informed dining decisions, Pickey does not independently verify this information and does not guarantee its accuracy, completeness, or reliability. If you have food allergies, sensitivities, or specific dietary restrictions, you should always confirm ingredients, preparation methods, and cross-contamination risks directly with the restaurant before consuming any food. By using Pickey, you acknowledge and agree that: - Dietary and allergen information may be incomplete, inaccurate, or subject to change without notice; - Restaurants and vendors are solely responsible for their menu content, ingredient disclosures, and food preparation practices; - Pickey does not control food preparation environments and cannot prevent cross-contact or contamination; - You assume all risks associated with relying on dietary information provided through the platform. To the fullest extent permitted by law, Pickey disclaims all liability for any allergic reactions, foodborne illnesses, injuries, or damages arising from the consumption of food discovered, ordered, or accessed through the platform.

Pickey Vendor Terms - Dietary Information, Liability, and Indemnification By registering as a vendor on Pickey, creating an account, or uploading any menu items or dietary information to the Pickey platform, you ("Vendor") agree to the following: 1. Accuracy of Dietary and Allergen Information Vendor represents and warrants that all menu items, ingredients, allergen disclosures, and dietary labels (including, without limitation, gluten-free, vegan, vegetarian, dairy-free, nut-free, or similar classifications) provided to Pickey are true, accurate, complete, and not misleading. Vendor agrees to promptly update any changes to such information and acknowledges that outdated or incorrect information may result in removal from the platform. 2. Food Safety and Legal Compliance Vendor represents and warrants that its food preparation, handling, labeling, and allergen disclosures comply with all applicable federal, state, and local laws, regulations, and industry standards, including all food safety and health requirements. 3. Vendor Responsibility Vendor acknowledges and agrees that it is solely responsible for: (a) the preparation, handling, and safety of all food it provides; (b) the accuracy of all menu, ingredient, and dietary information submitted to Pickey; and (c) any failure to properly disclose allergens or dietary risks. Pickey does not control or supervise Vendor's food preparation or kitchen practices. 4. Indemnification To the fullest extent permitted by law, Vendor agrees to defend, indemnify, and hold harmless Pickey, its owners, officers, directors, employees, contractors, and affiliates from and against any and all claims, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) any inaccuracy, omission, or misrepresentation in Vendor-provided dietary or allergen information; (b) any foodborne illness, allergic reaction, contamination, or injury allegedly caused by Vendor's food; (c) Vendor's breach of any representation, warranty, or obligation under these Terms; or (d) Vendor's violation of any applicable law or regulation. 5. Limitation of Pickey's Liability To the fullest extent permitted by law, Pickey shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to Vendor's use of the platform or the provision of food or dietary information. In no event shall Pickey's total liability exceed the total fees paid by Vendor to Pickey in the twelve (12) months preceding the event giving rise to the claim. 6. Platform Role Vendor acknowledges that Pickey is a technology platform that displays information provided by vendors and does not independently verify dietary or allergen information. 7. Acceptance of Terms Vendor acknowledges that checking an acceptance box, creating an account, or continuing to use the Pickey platform constitutes a legally binding agreement to these Terms.

Pickey Terms of Service Last Updated: June 16, 2026 Welcome to Pickey. These Terms of Service ("Terms") govern your access to and use of the Pickey platform, including our website, customer apps, driver apps, vendor apps, admin tools, and related services (collectively, the "Platform"). By accessing or using Pickey, you agree to be bound by these Terms. 1. About Pickey Pickey is a technology platform that helps customers discover vendors, plan food orders and events, coordinate delivery or pickup, and manage related support. Vendors use Pickey to manage business profiles, menus, quotes, orders, fulfillment, and payout workflows. Drivers use Pickey to receive eligible delivery assignments, provide delivery updates, and submit proof-of-delivery information. Pickey does not independently prepare food and is not responsible for vendor food preparation. 2. Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. 3. User Responsibilities By using Pickey, you agree: - To use the Platform only for lawful purposes - Not to misuse or attempt to interfere with the Platform - To verify dietary and allergen information directly with restaurants before consuming food - To keep account, order, vendor, driver, payout, and support information accurate - To use uploaded files, support attachments, proof-of-delivery images, and menu media only for lawful Platform purposes - To comply with applicable food safety, labor, traffic, privacy, payment, tax, and communications laws that apply to your role 4. Dietary and Allergen Disclaimer Pickey provides dietary and allergen information based on data supplied by Vendors. Pickey does not independently verify this information and does not guarantee its accuracy, completeness, or reliability. Food preparation environments may involve cross-contact or contamination. Users with allergies or dietary restrictions must confirm all information directly with the restaurant. By using Pickey, you assume all risk associated with relying on dietary information provided through the Platform. 5. Vendor Responsibility Restaurants and food vendors are solely responsible for: - Menu content and ingredient accuracy - Allergen disclosures - Food preparation and safety - Business profile, pricing, availability, fulfillment settings, and uploaded menu or support media - Compliance with permits, licenses, taxes, payment, payout, and consumer protection obligations Pickey does not control or supervise Vendor operations. 6. Driver Responsibility Drivers are solely responsible for safe and lawful driving, accurate pickup and delivery updates, accurate proof-of-delivery submissions, compliance with applicable vehicle, insurance, licensing, and background-check obligations, and protecting any customer, vendor, or order information received through the Platform. 7. Payments, Payouts, and Financial Records Payments, refunds, disputes, vendor payouts, driver payouts, fees, and Stripe onboarding may be processed by third-party payment providers. Pickey may retain order, payment, payout, tax, accounting, dispute, fraud, and compliance records after an account deletion request when retention is required or reasonably necessary. Account deletion does not automatically erase financial records or release users from payment, refund, chargeback, tax, payout, or settlement obligations. 8. Account Deletion and Access Revocation Eligible customers may request account deletion through supported app workflows. Driver or vendor deletion may revoke portal access and scrub personal profile/contact data while preserving order, fulfillment, vendor, delivery, payout, and finance records. Pickey may block deletion or keep an account inactive when an active delivery, live fulfillment, Stripe obligation, payout obligation, dispute, investigation, or other legal or operational requirement remains. 9. Support Attachments and Uploaded Content You grant Pickey the rights needed to store, display, sign, transmit, review, and use uploaded support attachments, proof-of-delivery files, menu media, and other Platform content for operating, supporting, enforcing, and improving the Platform. You must not upload unlawful, infringing, malicious, or sensitive content unrelated to the requested workflow. 10. Communications and Notifications Pickey may send transactional communications about accounts, orders, payments, support, safety, delivery, and fulfillment. Marketing communications and marketing push notifications may be controlled through available preference or unsubscribe tools. Operational and transactional notifications may remain enabled where needed to provide the Platform. 11. Limitation of Liability To the fullest extent permitted by law, Pickey and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to: - Use of the Platform - Reliance on dietary or allergen information - Consumption of food from Vendors - Delivery, driver, vendor, payment, payout, or third-party service actions outside Pickey's direct control To the fullest extent permitted by law, Pickey disclaims all liability for allergic reactions, foodborne illnesses, or injuries. In no event shall Pickey's total liability exceed one hundred U.S. dollars ($100). 12. Indemnification You agree to defend, indemnify, and hold harmless Pickey, its owners, officers, employees, and affiliates from any claims, damages, or expenses arising from: - Your use of the Platform - Your violation of these Terms - Your food, delivery, vendor, driver, support, uploaded content, payment, or payout activity 13. Platform Availability Pickey may modify, suspend, or discontinue any part of the Platform at any time without notice. 14. Termination Pickey reserves the right to suspend or terminate your access to the Platform at any time, for any reason, including violation of these Terms. 15. Third-Party Services Pickey may include links or integrations with third-party services, including payment, authentication, storage, email, push notification, maps, analytics, and hosting providers. Pickey is not responsible for the content or practices of those services. 16. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. 17. Changes to Terms Pickey may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. 18.
